Terms of Service

Welcome to Archis. Please read these Terms of Service ("Terms") carefully. By creating a firm account, inviting team members, or using the Archis platform and services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
These Terms constitute a binding legal agreement between Archis Technologies ("we," "us," or "our") and the law firm or legal practice registering for or using the Service ("Customer," "you," or "your").
1. Acceptance and Scope
By accessing or using the Service, you represent that you are an authorized representative of your law firm or practice, with the authority to bind the firm to these Terms. If you invite team members to join your firm's workspace, they must also comply with these Terms, and you remain responsible for their activities.
2. Description of Service
Archis is a cloud-based practice management platform designed for law firms in Nepal. The Service provides features for case tracking, client registers, task management, document storage, time logging, and invoicing. The Service is provided on a multi-tenant cloud architecture, utilizing logical isolation (Row-Level Security) to segregate customer data.
3. Account Registration & Role-Based Access Control
- Firm Accounts:To use the Service, you must create a firm account. The individual who initializes the account is designated as the Firm Owner. The Owner controls the firm's workspace, manages subscription billing, and is responsible for all activity under the firm's account.
- Team Invites & Roles: The platform utilizes Role-Based Access Control (RBAC) to enforce internal administrative boundaries. Firm Owners or designated Lawyers can invite team members to the workspace and assign them specific roles:
- Lawyer: Full administrative access. Lawyers can manage the team roster, view billing/invoices, log time, and create, edit, or delete clients, cases, tasks, and documents.
- Paralegal: Scoped access. Paralegals can view cases, tasks, and documents within the firm. They can upload documents, add comments to tasks, and log or edit their own unbilled time entries. Paralegals are programmatically blocked from deleting any database records, editing task metadata outside of status updates, and viewing or managing invoicing/billing data.
- Secretary: Scoped clerk access. Secretaries can view cases, tasks, and documents, upload files, manage client contact details, and log or edit their own unbilled time entries. Secretaries are programmatically blocked from viewing or managing case details, editing task details (outside of status updates), and accessing billing/invoices.
- Customer Responsibility: You are responsible for auditing and ensuring that appropriate roles are assigned to your staff. You must maintain the confidentiality of all authentication credentials and immediately notify us of any unauthorized account access.
4. Subscriptions, Inactive States, and Billing
- Subscription Plans: We offer Monthly and Yearly subscription plans. Fees are billed in advance and are non-refundable, except as evaluated and approved solely at our discretion.
- Firm Inactive Status (Expired or Suspended):If your subscription payment is overdue, or if your account is suspended for violations of these Terms, the firm's status will be marked as "expired" or "suspended."
Edge Status Enforcement: In accordance with our platform rules, any active user session associated with an expired or suspended firm will be blocked. Access token credentials (cookies) will be deleted, and users will be automatically redirected to the login interface with an inactive status warning.
- Subscription Limits:Subscription plan quotas (e.g., case count limits, user seats) are subject to enforcement based on the subscription tier selected. Current limits are detailed in the platform's pricing documentation.
5. Data Ownership and Security
- Customer Data:As between you and Archis, you retain sole ownership of all data, client contact details, case descriptions, task comments, and documents uploaded by your firm to the Service ("Customer Data"). You grant us a limited license to host, transmit, and display Customer Data solely for the purpose of providing the Service.
- Ethical and Privacy Obligations: Law practices handle confidential and attorney-client privileged information. You represent and warrant that your collection, upload, and processing of Customer Data via the Service complies with all applicable privacy laws, professional ethical codes, and bar association regulations in your jurisdiction. You must obtain all necessary client consents before uploading files or personal details.
- Platform Access (Support and Compliance):We implement database isolation controls to protect Customer Data. Our administrators ("Super Admins") have read-only access to specific platform database tables to provide technical support, ensure system integrity, and perform essential maintenance. Super Admins do not monitor, read, or inspect the contents of uploaded legal documents except as explicitly requested by you for technical troubleshooting, or as required by law.
6. Acceptable Use Policy
You agree that you will not:
- Attempt to bypass, reverse engineer, probe, or exploit the platform's Row-Level Security (RLS) policies, database triggers, or API access controls.
- Upload files containing malicious code, malware, viruses, or any payload that threatens the security or performance of our cloud infrastructure.
- Use the Service to store or process any material that is illegal, fraudulent, or infringes on the intellectual property rights of others.
- Share user accounts among multiple individuals; each user profile must be linked to a single individual.
7. Intellectual Property Rights
All right, title, and interest in and to the Service—including the software application, user interfaces, branding, logos, trademarks, website design, and technical configurations—are and will remain the exclusive property of Archis Technologies and its licensors. You are granted a limited, non-exclusive, non-transferable, and revocable right to access and use the platform during your subscription term in compliance with these Terms.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCHIS TECHNOLOGIES DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, ACCURACY, AND UNINTERRUPTED AVAILABILITY. ARCHIS IS A SOFTWARE UTILITY AND DOES NOT PROVIDE LEGAL ADVICE. USE OF THE SERVICE DOES NOT CREATE AN ATTORNEY-CLIENT RELATIONSHIP BETWEEN ARCHIS AND YOU.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ARCHIS TECHNOLOGIES, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. THIS INCLUDES, BUT IS NOT LIMITED TO, LOSS OF PROFITS, DATA LOSS, REPUTATIONAL DAMAGE, BUSINESS INTERRUPTION, OR DAMAGES ARISING FROM MISSED COURT HEARINGS, MISSED STATUTE OF LIMITATION DEADLINES, OR UNSUCCESSFUL LITIGATION OUTCOMES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ARCHIS TECHNOLOGIES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
10. Indemnification
You agree to indemnify, defend, and hold harmless Archis Technologies, its officers, directors, and employees, from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Terms; (b) your violation of any applicable laws, regulations, or professional ethical standards; or (c) your Customer Data, including claims of privacy violations or data breaches by your clients.
11. Service Modifications and Interruption
We reserve the right to modify, update, or discontinue features of the Service at any time to implement security patches, performance improvements, or product enhancements. We will make reasonable efforts to notify you of material changes. We are not liable for temporary service interruptions, unscheduled maintenance, or hosting provider downtime.
12. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations (except for payment obligations) due to events beyond its reasonable control, including natural disasters, acts of God, war, strikes, power outages, internet service provider failures, government restrictions, or general telecommunications failures.
13. Suspension and Termination
- Termination by Customer: Firm Owners may cancel the firm's subscription at any time via the billing dashboard.
- Termination by Us: We may suspend or terminate your access to the Service immediately, without prior notice, if you fail to pay subscription fees, violate our Acceptable Use Policy, or breach these Terms.
- Data Retention & Purge: Upon subscription expiration or account cancellation, your account will enter an inactive state. Your data will remain stored in our system for a period of thirty (30) days to allow you to export your data. After this 30-day grace period, we reserve the right to permanently delete all Customer Data, cases, clients, tasks, documents, and historical logs from our primary databases and storage buckets.
14. Governing Law and Jurisdiction
These Terms shall be governed by, and construed in accordance with, the laws of Nepal, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts in Kathmandu, Nepal.
